Terms of Service

By opening an account on Kupe AI or by clicking accept/agree when presented with these Terms in the user interface, you are legally bound by these obligations. If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that entity. If you do not agree to all of these Terms, you shall not use the services and should not set up an Account.

You also agree to abide by our other rules and policies, including our Privacy Policy, which are expressly incorporated into and form part of these Terms. Once you accept these Terms you are bound by them until they are terminated in accordance with Section 7.

a. Right to Use and License

Subject to your compliance with these Terms, Kupe AI grants you a non-exclusive, non-transferable, non-assignable, non-sublicensable, and revocable right to use the Services solely for the purpose of deploying AI voice agents in the manner described in these Terms and in any technical documentation provided with the Services.

You acknowledge that you are only granted a right to use the Services and nothing is being sold to you. You do not acquire any ownership interest in the Services under these Terms. We reserve all other rights not expressly granted.

b. What We Provide

The Services include a hosted software platform (“Platform”) that allows you to create voice agents that interact with your customers and respond to queries in a realistic manner. Our Platform acts as an orchestration layer stitching together transcription, large language model (LLM) processing, and voice generation modules — all optimised for low latency and natural, human-like conversations.

c. Third-Parties

Our Platform interacts with third-party service providers (“Providers”) including transcription services, LLM providers, and voice generation services. When you use the Services, Your Content (as defined) is shared with each applicable Provider, subject to that Provider's individual terms.

You can bring your own API keys for supported Providers via the Dashboard. Once validated, you will be charged directly by the Provider rather than through us. Enterprise customers are subject to custom pricing. For certain Providers (e.g. ElevenLabs, PlayHT) you may need an independent subscription.

d. Use Restrictions

You agree not to, directly or indirectly:

• Use the Services other than for your own purposes as permitted by these Terms, including not licensing, selling, renting, or commercially exploiting the Services.
• Use the Services in any way that violates applicable law or gives rise to criminal or civil liability.
• Create AI voice agents for any illegal purpose.
• Use Kupe AI's name, trademarks, logos, or other materials except as allowed by these Terms.
• Remove, alter, or destroy any copyright or proprietary notices contained in or on the Services.
• Copy, modify, distribute, sell, or create derivatives of the Services other than as expressly permitted.
• Reverse engineer, decompile, disassemble, or extract source code from any part of the Services.
• Use automated means (bots, scrapers, miners) to access or extract data from the Platform or website.
• Upload malicious code or otherwise compromise the security or integrity of the Services.
• Disrupt or hinder the Services, any connected servers or networks, or any Provider's technical systems.
• Attempt to detect, scan, or test vulnerabilities in the Services or any system or network.
• Impersonate another person or falsely represent your affiliation with any entity.
• Access the Services in ways not authorised by these Terms.
• Use the Services to produce datasets for neural network training or machine modelling for third parties.
• Use the Services in violation of HIPAA or PCI DSS without enabling the appropriate compliance settings. Failure to do so constitutes a material breach of these Terms.

e. Service Updates

The Services will evolve over time. Kupe AI may update the Services with or without prior notice, including adding or removing features, products, or functionalities.

f. Fees

Usage of our Services is subject to fees listed on our website, correlated with voice minutes processed through the Platform. We may revise fees at the end of your then-current subscription term. Our fees are separate from the fees charged by Providers.

a. Registration

To access the Services, you must register and obtain login credentials for an account (“Account”) by providing accurate and complete information. You are responsible for maintaining and updating your account information. You may delete your Account at any time in accordance with Section 7(b).

b. Eligibility

The Services are only available to individuals who can form legally binding contracts under applicable law. You must be at least 18 years of age (or the age of majority in your jurisdiction). You are not eligible to use the Services if you are barred from doing so under the laws of India, the United States, or any other applicable jurisdiction.

c. User Credentials

You are exclusively responsible for maintaining the security and confidentiality of your login credentials and for all use of the Services under your Account. You may not share your Account or password with anyone. Please notify us immediately at support@kupe.in if you suspect any unauthorised use of your Account.

a. Your Content

All materials you upload to or transmit via the Platform are your content (“Your Content”). You own all rights and title in Your Content, including any Intellectual Property Rights. Kupe AI does not claim ownership of Your Content.

b. Rights You Grant Us

You grant Kupe AI a worldwide, royalty-free, sublicensable licence to host, store, cache, use, display, reproduce, modify, adapt, edit, analyse, transmit, and distribute Your Content during the Term, solely for the purpose of providing the Services.

If the hipaaEnabled option is set to True in our API, data persistence is disabled and no call logs, recordings, or transcriptions are stored or used for model training. If set to False, call data persistence is enabled and we may use persisted call data on model training for call improvement features such as end-of-turn and interruption detection. We do not use Your Content to gather customer-specific intelligence or capture personal information of callers.

Any Feedback (ideas, suggestions, proposals) you submit to Kupe AI is at your own risk. You grant us a fully paid, royalty-free, perpetual, irrevocable, worldwide licence to use, reproduce, adapt, and commercially exploit such Feedback for any purpose.

c. Kupe AI's Rights

The Services and all associated technology, content, software, images, text, graphics, logos, and audio or video materials are owned by Kupe AI and its licensors. “Intellectual Property Rights” means all patents, trademarks, copyrights, database rights, and all other intellectual property rights worldwide, whether registered or unregistered.

d. Rights Granted to Third Parties

Providers require certain rights to Handle Your Content in order to deliver their services. Please review each Provider's terms of service independently. Kupe AI does not monitor or guarantee Provider compliance with their contractual or legal obligations.

Kupe AI may monitor your use of the Services and collect data in an aggregate and anonymised manner, including compiling statistical and performance information related to the Services (“Aggregated Statistics”). Such Aggregated Statistics are wholly owned by Kupe AI and may be used for operating, developing, providing, promoting, and improving the Services.

By creating an Account or using the Services, you agree to receive communications from us, including via email and/or push notifications. Communications may include operational updates about your Account, new features, and Kupe AI news. You may opt out of marketing communications at any time.

a. Term

These Terms commence on the earlier of the date you first opened an Account or accepted these Terms, and remain in full force while you use the Services, unless earlier terminated.

b. Termination by Kupe AI

If you breach any provision of these Terms, if Kupe AI is required to do so by law, or if it becomes commercially impracticable to provide the Services, Kupe AI may immediately suspend or terminate the Services without notice. Where applicable, Kupe AI will refund prepaid amounts on a pro-rata basis.

d. Termination by You

You may terminate these Terms at any time by notifying us and ceasing to use the Services. Termination does not affect clauses that survive expiry or termination.

e. Effect of Termination

Upon termination, your right to use the Services ceases and you may lose access to your Account and all associated data. Kupe AI has no liability for any suspension or termination made in accordance with these Terms.

f. Survival

Sections 4(a), 4(b)(ii), 4(c), 4(d), 7(e), 9, 10, 11, 12, 14, and the Final Terms shall survive any termination.

These Terms are subject to occasional revision. When changes are made, Kupe AI will post an updated copy and update the “Last Updated” date at the top. Substantial changes will be communicated to registered users by email at least 30 days in advance. Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.

a. Your Indemnification Obligation

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Kupe AI and its directors, officers, employees, licensors, Providers, and agents from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of: (a) your access to or use of the Services; (b) your breach of these Terms, any third-party rights, or applicable law; or (c) your negligence or wilful misconduct.

b. Indemnification by Kupe AI

Kupe AI will defend, indemnify, and hold you harmless from and against costs and damages awarded in final judgment or paid in settlement in connection with any third-party claim that the Services (exclusive of Your Content) infringe any Intellectual Property Rights, or that arise from Kupe AI's gross negligence, wilful misconduct, fraud, violation of applicable law, or breach of its representations or warranties.

c. Injunctions

If your use of the Services is enjoined due to claims in Section 9(b), Kupe AI may, at its sole option: (a) modify or replace the Services to make them non-infringing; (b) procure continued right to use; or (c) terminate your rights and refund pro-rata prepaid fees.

d & e. Exclusions and Sole Remedy

Kupe AI has no liability for infringement claims resulting from your modification of the Services, failure to safeguard login credentials, or use of the Services other than as permitted. The foregoing states the entire obligation of Kupe AI with respect to any infringement of third-party Intellectual Property Rights.

Kupe AI makes no representation that the Services will be uninterrupted, error-free, or timely. The Services may be subject to delays, cancellations, and other disruptions. Unless you limit incoming call traffic, you are responsible for payment of all minutes utilised on the Platform regardless of whether voice traffic exceeded your expectation.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above may not fully apply to you.

a. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without giving effect to conflict of laws provisions.

b. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services will first be subject to good-faith informal resolution. If informal resolution fails within 60 days, disputes will be resolved by binding arbitration administered under the applicable arbitration rules in India, except for claims related to Intellectual Property Rights, theft, piracy, or requests for equitable relief.

c. Contact for Disputes

Notice of intent to initiate dispute resolution should be sent to support@kupe.in.

The Services can be accessed from countries around the world. Kupe AI makes no representation that the Services are appropriate or available for use in all locations. Those who access the Services from outside India do so at their own volition and are responsible for compliance with applicable local laws.

If any provision of these Terms is found unenforceable, that provision will be severed and will not affect the validity of any remaining provisions. Any waiver or failure to enforce a provision on one occasion shall not be deemed a waiver on any other occasion.

You may not use, export, import, or transfer the Services except as authorised by applicable law. By using the Services, you represent and warrant that: (i) you are not located in a country subject to international sanctions; and (ii) you are not listed on any government list of prohibited or restricted parties.

16. Notice

All notices under these Terms must be in writing. You may direct notices to Kupe AI at support@kupe.in.

17. Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. Kupe AI may assign these Terms to any party without restriction.

18. Force Majeure

Kupe AI will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, natural disasters, pandemics, or failures of third-party infrastructure.

19. Source Code Disclosures

Kupe AI incorporates certain open-source software under permissive licences. Where required by such licences, the relevant source code is made available. Please contact support@kupe.in for details.

20. Entire Agreement

These Terms, together with any Kupe AI ordering document or master agreement, constitute the entire and exclusive agreement between you and Kupe AI with respect to the Services and supersede all prior agreements and discussions, both written and oral. No purchase order issued by you shall control.
